TERMS AND CONDITIONS
1. Introduction
These terms and conditions, as amended from time to time, shall apply to every user of
the VentureConnect Website (the “Website”), operated by the VentureConnect
Foundation, having its headquarters in Bucharest, 77 Emanoil Porumbaru st., 4th floor,
Office No. 4, 1st District, registered in the Registry of Associations and Foundations
under no. 1/19.01.2012, Fiscal Registration Code 29695321 (“the Foundation” / “We”].
The Website provides users with information on the organization and participation in
VentureConnect and VentureMentoring events, the enrollment in the AngelConnect
community, all organized by the Foundation, as well as other relevant information, news
and updates from the Internet and Information technology (IT) industry, as well as from
software development industry. Through the Website, users have the opportunity to
register in order to attend the selection for the “pitching” sessions within VentureConnect
events or VentureMentoring sessions, both organized by the Foundation. The purpose
of attending events organized by the Foundation is to have the opportunity to meet and
interact with a large number of entrepreneurs and investors in the Internet, IT and
software development industry, and also with other stakeholders interested in these
market segments.
We offer you the Website, including the information contained in generated by the
Website, subject to your acceptance of these terms and conditions.
The use of the Website is subject to all applicable laws, rules and regulations and to
these terms and conditions.
By using the Website, we consider that you accept all these terms and conditions and
agree to comply with all laws, rules and regulations.
We reserve the right to modify these terms and conditions periodically at our discretion.
We will send you a notification each time the terms and conditions will be changed. A
version of the current terms and conditions will be available on www.ventureconnect.ro,
as soon as it will be changed. By continually using the Website, you accept the terms
and conditions that apply regularly.
2. Privacy
We respect your confidential information. Information submitted by you through the
enrollment application for the “pitching” sessions within VentureConnect events will be
used by the VentureConnect Foundation exclusively for the selection process of
participants to these sessions. VentureConnect Foundation will not use in any other way
or for any other purpose the information sent by you to this extent. However, you agree
that the Foundation and its members shall not be liable to you as a result (direct or
indirect) of public disclosure of such information by third parties.
3. Eligibility
The Website is available to users who are at least 18 years old. If you desire to join the
selection for the “pitching” sessions within VentureConnect events or VentureMentoring
sessions, you must be 18 or older.
4. Use of the Website
You may access and use the Website only according to these terms and conditions. Any
other access or use of the Website or of the content included in the Website (including,
without limitation, images, text, data, design elements, graphics, logos, as well as
selection and arrangement thereof) is expressly prohibited.
As user of the Website, you can access and use the content included in and / or
generated by the Website only for non-commercial or personal use, unless you have the
express prior written consent from us. You will not use the Website to send or post
material that is defamatory, abusive, pornographic or having an obscene or menacing
character or which may, in our opinion, insult, cause injury, damage or anxiety to any
person or contain a virus or other computer program intended to damage or impair the
proper functioning of the Website, or any computer or device used to access or see any
of the above.
You agree to not affect the use of the Website by any other user, including, without
limitation, causing the entire website or part of it to be interrupted, damaged or become
less effective, or be limited in any way. You agree to not avoid any measures that we
may take to prevent or restrict access to the Website or to certain data.
You are responsible for protecting the confidentiality of the password associated with
your account and for restricting the access to your computer while you are registered on
the Website and you solely will be responsible for any loss or claims resulting from
unauthorized use of your password.
We reserve the right, at our discretion, to limit or suspend your access to or use of the
Website by you at any time, by sending a prior notice regarding limitation or suspension
of your access to the Website.
5. Website accuracy
We are not responsible for the accuracy, completeness or timeliness of the content
included in or generated by the Website and you should not rely on any such information
to be accurate, current or complete. Any use of content contained in or generated by the
Website is at your own risk. We reserve the right to change the Website and its content
at any time, but we have no obligation to do so. We will send you a notice to inform you
every time we change the terms and conditions of the Website and you will be prompted
to accept these terms and conditions.
6. Limiting Intellectual Property Rights
You do not acquire any right, title or interest in or over the Website or any content
contained in or generated by the Website, by accessing or using the Website. The
Foundation, its licensors or content providers retain all rights, title or interests in and
over the Website and on the content included in and generated by the Website,
including all intellectual property rights. You may not reproduce images or text contained
in the Website.
7. Trademarks and Copyrights
Trademarks, logos and service trademarks displayed on the Website are registered and
unregistered trademarks of the Foundation, its licensors or content providers and other
third parties. All of these trademarks, logos and service marks are the property of their
respective owners. No part of the Website shall be construed as conferring any direct,
indirect, implied, or otherwise, any license or right of use of any trademark, logo or
service marks displayed on the Website, without the written permission of prior rights
holder over these. We expressly reserve all rights that are not expressly assigned on
and about the Website and the content included in and generated by the Website.
8. Changes to Website
We reserve the right to suspend or modify the Website, or to change any content
included in or generated by the Website, for any reason, at any time, by sending a prior
notice to you. You agree that we shall not be liable for any interruption of or changes to
the Website or its content.
9. Communication
We provide you an “opt-in” subscription option system regarding sending to you of
marketing communication relating to VentureConnect Foundation. Therefore, you will be
prompted specifically to choose if you want to receive or not the VentureConnect
Foundation newsletter. In addition, we provide you with the possibility to revoke the
option of receiving the VentureConnect Foundation newsletter.
You agree that by using the Website, the information sent by you within the application
form for the “pitching” session organized by VentureConnect Foundation will be used by
the VentureConnect Foundation exclusively for the purpose of selecting participants to
these sessions. The VentureConnect Foundation will not use in any other way and for
any other purpose, other information sent by you to this effect. However, you expressly
agree that we shall not be liable to you as a result (direct or indirect) of public disclosure
of such information by third parties.
10. Links
The Website may contain links to websites over which we have no control. These links
are provided to help you. We make no claim as to the accuracy of the information
contained in these websites. You agree that we are not responsible for the content of
these websites or for any direct or indirect consequences of your access to these
websites.
11. Separability
If any part of these terms and conditions is found to be unlawful, null or impossible of
being enforced by a court competent in this regard, the respective part will be separated
and eliminated, to the extent of such illegality, invalidity or impossibility of
implementation and the remaining parts of these terms and conditions shall remain in full
force and continue to be binding and enforceable to the maximum extent permitted by
law.
12. Cession
We may surrender any of our rights or obligations under these terms and conditions, to:
• any subsidiary or affiliate of VentureConnect Foundation;
• any entity that acquires all or a substantial part of the assets of the VentureConnect
Foundation, or
• any entity which acquires all or a significant part of the VentureConnect Foundation
right over the Website or its related assets.
Your rights and benefits under these terms and conditions belong to you and can not be
transferred or assigned.
13. Governing Law
These terms and conditions are exclusively governed by and interpreted in accordance
with the Romanian laws whose courts shall have exclusive jurisdiction on any litigation.
14. Terms and Conditions for the “pitching” sessions selection during
VentureConnect events
If you are 18 years or older, you can take part in VentureConnect events. The price for
taking part in a VentureConnect event is RON 225. You can choose to sign up for the
selection of the “pitching” session during any VentureConnect event (“Selection”) and
by entering the Selection, you acknowledge and agree to accept the following terms and
additional conditions regarding the Selection. If there is any conflict between the terms
and conditions for Selection provided for in this paragraph 14 and any other terms and
any other conditions mentioned above, then, to the extent applicable to the Selection,
only this paragraph 14 shall prevail. For the avoidance of any doubt, this paragraph 14
shall apply only to Website users who have entered the Selection process.
(a) The Foundation: The Selection Supporter is the Foundation whose address is
provided for in paragraph 1 above.
(b) Eligibility: (a) Age Participants must be 18 years old or older. (b) Employees
Foundation employees or representatives and their close relatives are not eligible for
enrollment in the selection.
(c) Applications’ submission period: applications’ submission period begins on 30
August and ends at 23.59 (local time) on 16 November (“Closing”).
(d) Registration: Participants should have sent the application form for the Selection
displayed on the Website found at the URL address:
http://www.ventureconnect.ro/apply-now-for-venture-connect/ before taking part in the
Selection. Participants should fill in the application form. Only forms completed and
submitted strictly in accordance with the instructions regarding Selection and these
terms and conditions will be taken into consideration by the VentureConnect Foundation.
Participants can enter the Selection with multiple projects within the same period of
applications. You agree that the Foundation does not bear any responsibility for any
additional information and delivery of invalid and / or incomplete forms and / or forms
that are not received by the Foundation. The Foundation will notify you upon receiving
your application form.
(e) Choosing the winners of the Selection process: After Closing, the participants
who met the most of the criteria necessary for participating, as detailed on the Website
at the URL address: http://www.ventureconnect.ro/faq/ – section “Which are the criteria
for startup selection? “ will take part in the “pitching” session of the VentureConnect
event for which they sent their VentureConnect application. Choosing winners is based
on the participation criteria and is irrevocable. The Foundation will directly inform the
winners that they have won the Selection. Selected winners will participate in training
sessions in order to get prepared for the “pitching” sessions within VentureConnect
events, organized and supported by the VentureConnect Foundation and on the
Foundation’s expense, without any participation costs for the Selection Winners.
(f) Participants’ and winner’s data: The full name of all the participants to the
Selection will be posted on the Website and will appear in the Foundation’s newsletter.
You agree that the Foundation may publish and disclose to third parties the name,
surname and company name who won the Selection and who will participate in the
“pitching” sessions within VentureConnect events. The Foundation will not disclose to
third parties any information contained in the registration application used in the
Selection process. You expressly agree that the Foundation is not responsible in any
way, directly, indirectly or implicitly, for any disclosure by third parties of information
contained in your registration application used for the Selection process.
(g) Personal data: All personal information collected on participants for the Selection
process will be used only in accordance with these terms and conditions and for the
following purposes: to manage the website as provided by these terms and conditions,
to select winners of the Selection, to organize VentureConnect events and communicate
to the public, by any means, information about VentureConnect events and their
participants.
(j) Foundation Liability: To the extent permitted by law, you agree that the Foundation
has no responsibility and / or liability arising from any postponement, cancellation, delay
or changes to the Selection, which are beyond the control of the Foundation, and any
action or breach of obligation caused by any third party supplier.
(i) Cancellation and Amendment
The Foundation reserves the right to cancel or modify the Selection rules or these terms
and conditions at any time by notice sent to you.
15. Registration terms and conditions for VentureMentoring sessions
If you are 18 years or older, you may choose to sign up for VentureMentoring business
mentoring sessions organized by the Foundation. By entering VentureMentoring
sessions, you acknowledge and agree to accept the following terms and conditions
concerning your participation in the VentureMentoring sessions. If there is any conflict
between the terms and conditions for Selection provided by this paragraph 15 and any
other terms and conditions mentioned above, then, to the extent applicable to the
Selection, only this paragraph 15, shall prevail. For the avoidance of any doubt, this
paragraph shall apply only to users of the Website which have enrolled in
VentureMentoring sessions.
(a) The Foundation: The supporter of the VentureMentoring sessions is the Foundation
whose address is set out in paragraph 1 above.
(b) Eligibility: (a) Participants must be 18 years old or older. (b) Employees Employees
or other Foundation representatives and their close relatives are not eligible for
enrollment in VentureMentoring sessions.
(c) Application period: Selection begins three (3) weeks before the date scheduled for
the mentoring session and ends the day before the date when the mentoring session
takes place (“Closing”).
(d) Registration: Participants must be enrolled in VentureMentoring sessions via
Website or by sending a registration message to the following address:
http://www.ventureconnect.ro/venture-mentoring/. You agree that the Foundation
does not bear any responsibility for any invalid entries and / or incomplete and / or
registration messages that are not received by the Foundation. The Foundation will
notify you upon a receipt of registration for a particular VentureMentoring session.
(e) Participants data: Full names of all participants to VentureMentoring sessions as
well as other identifiers, such as personal identification number or bank account, will be
required to use the PayU payment system in order to pay for VentureMentoring sessions
fee.
(f) Personal data: All participants’ personal data collected for VentureMetoring
sessions will be used only in accordance with these terms and conditions and for the
following purposes: to manage the Website as provided by these terms and conditions,
to organize public meetings and convey information about VentureMentoring events and
its participants, by any means.
(g) Foundation Liability: To the extent permitted by law, you agree that the
Foundation has no responsibility and / or liability arising from any postponement,
cancellation, delay or changes to VentureMentoring sessions, which are beyond the
control of the Foundation, and any action or breach of obligation by any third party
provider.
(h) Cancellation and Amendment: The Foundation reserves the right to cancel or
modify the rules of participation in VentureMentoring sessions or these terms and
conditions at any time, by prior notice sent to participants attending VentureMentoring
sessions.
